Terms and licence

1. Who

This is between you and Jeremy Linton, sole trader, Victoria, Australia, trading as Codee3, ABN 80 516 644 158 (“we”).

2. What it covers

The free Codee3 IDE: the program you download from www.codee3.dev, its installer, and any later free version we offer (“the Software”). It is pre-release: unfinished, and it will change. It works with at most two projects open at a time (archiving or removing one frees its place), and has no agent orchestration, no Brain Kit and no updater.

3. What you may do

We give you a free, non-exclusive, non-transferable licence, worldwide, to install the Software on computers you control and use it for any purpose, including paid and commercial work, for as long as you keep to this licence.

4. What you may not do

• Share, sell or host the installer or the Software for others to download. Point them to www.codee3.dev instead.
• Modify, decompile or reverse-engineer the Software, except to the extent a law that cannot be excluded allows it.
• Remove or change our notices, or the notices of the third-party components inside it.
• Use it to get round a limit set by Anthropic, OpenAI or any other provider, or against their terms.
• Use it to break the law.

5. Your work stays yours

Your code, your repositories and everything you write with the Software are yours. We claim nothing in them, and this licence gives us no access to them.

6. Your AI provider

When you chat with Claude Code, Codex or Gemini CLI in the Software, you use that provider’s own app, signed in with your own account, under that provider’s terms and privacy policy. What you send goes to that provider. Codee3 never sees your sign-in, and does not provide, pay for or resell any AI usage. Gemini CLI is your own copy, unmodified, run in a terminal, and Codee3 handles no Google sign-in or token. Gemini CLI may not work on unpaid Google accounts since June 2026. Claude Code is Anthropic’s, Codex is OpenAI’s and Gemini CLI is Google’s; none of them makes, endorses or is a partner in Codee3.

7. What leaves your computer

The Software sends nothing about how you use it. It fetches the signed extension library from www.codee3.dev unless you turn the library off. The privacy page says exactly what and when.

8. Updates

The free IDE does not update itself. To update, download it again from www.codee3.dev.

9. Third-party components

The Software includes open-source components under their own licences. Their notices are in THIRD-PARTY-NOTICES.txt, installed with the Software.

10. Free now, and later

The free IDE costs nothing. We may change, add or remove features in later versions, and some features may later be offered only on a paid plan. We will say so before anything is charged, and nothing is charged without your agreement.

11. No promises beyond the law

To the extent the law allows, and except as this section says, the Software is provided “as is”, without any other warranty. Nothing in this licence excludes, restricts or modifies any guarantee, right, condition, warranty or remedy conferred by the Australian Consumer Law, or by any other law, that cannot lawfully be excluded, restricted or modified. Where such a law applies to you, it applies in addition to this licence, and it prevails where the two are inconsistent.

12. Liability

Codee3 makes no edits to your code itself. Changes come from the AI tool you chose, run on your own account under your own agreement with that tool’s provider. You review its changes and decide whether to accept them. To the extent the law allows, we are not responsible for what a third-party tool does.

To the extent the law allows, we are not liable for indirect or consequential loss, including lost work or lost data. Nothing in this licence limits liability for fraud, or any liability that cannot lawfully be limited.

13. Ending it

You can stop at any time by uninstalling the Software. If you break this licence and do not put it right within 30 days of our telling you, the licence ends and you must uninstall it.

14. Age

You must be 18 or over.

15. Law

These terms are governed by the law of Victoria, Australia, and the courts of Victoria and of Australia may hear any dispute. If you are a consumer, this does not take away the protection of the mandatory law of the country where you live, or your right to bring a claim in its courts.

2. What you get

A personal tester code and a private link to the full current build of the Codee3 IDE, including agent orchestration and the Brain Kit. It is free. It is pre-release software: it is unfinished, it will have faults, and features will change. The orchestration loop is not in it yet, and Gemini CLI may not work on unpaid Google accounts since June 2026. Your use of the software itself is under the Codee3 Tester Licence below, which is part of this agreement.

3. Your code is yours alone

Your code is tied to your name. Please keep it, the private link and the installer to yourself. We can cancel a code at any time; cancelling it stops update checks and diagnostics working for it.

4. What leaves your computer

With your code entered, Codee3 checks www.codee3.dev for updates each time it opens (you can turn that off) and when you press Check for updates, sending your code, the version and your system type. Diagnostics are sent only when you press Send, after you have seen all of it, and are filed under your name. The extension library is fetched from the same site. The privacy page says exactly what and when.

5. Your AI accounts, and a plain warning about orchestration

• You use your own Claude Code, Codex and Gemini CLI accounts, under Anthropic’s, OpenAI’s and Google’s own terms. Codee3 never sees your sign-in.
• Agent orchestration starts and drives several agent sessions for you, sometimes while you are not watching. That is not ordinary, one-person use. Anthropic says the advertised usage limits for its Pro and Max plans “assume ordinary, individual usage of Claude Code and the Agent SDK”. Heavy orchestration on a consumer plan (Claude Pro or Max, or a ChatGPT plan) may go beyond that: it can use up your limits quickly, be slowed or paused by the provider, or put your account at risk under the provider’s terms.
• For heavy orchestration we suggest an API key (an Anthropic Console or OpenAI API account), which is billed by use. Anthropic’s terms allow automated use with an API key from the Claude Console, billed by use.
• When a plan reaches its limit, its agents wait and carry on when the limit refills; Codee3 does not move them to another account. Do not use a second account with the same provider to get round a usage limit.
• You are responsible for your accounts with those providers and what they charge you.

6. Agents act on your code

At your direction, agents in Codee3 edit files, run commands, merge work into your checkout and push it to your remote. Codee3 does not confine their commands to one folder; that depends on your own Claude Code or Codex settings and the permission level you choose. Use it on repositories you have backed up, keep your work committed, and read what an agent proposes before you let it land.

7. The installer is not signed yet

Windows may warn that it is from an unknown publisher. The install steps on the Get Codee3 page say what to do.

8. Feedback

If you send us ideas, reports or suggestions, we may use them to improve Codee3 without owing you anything for them. We will not name you publicly, or say a change came from your report, without asking you first.

9. Free now, and later

Testing is free and we will not charge you for it. Paid features are planned. We will tell you before anything is charged, and a later version may move features behind a paid plan.

10. No promises beyond the law

The software is provided as it is, while it is being tested. Nothing in this agreement excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law, or any other law, that cannot lawfully be excluded, restricted or modified.

11. Ending it

You can stop at any time: uninstall Codee3, and tell us if you like. We can end your testing by cancelling your code. The sections on your AI accounts, feedback and the law continue after it ends.

The Codee3 IDE build we give you with your tester code, its installer, any update you receive with that code, and everything bundled in it: the Brain Kit engine, agent orchestration and the extension host (“the Software”). It is pre-release: unfinished, and it will change.

3. What you may do

While your tester code is active, we give you a free, non-exclusive, non-transferable licence, worldwide, to install the Software on computers you control and use it for your own repositories and work, including paid and commercial work, and to test it and tell us how it behaves. This includes the Brain Kit’s guards and orchestration, which the Brain Kit’s own licence otherwise grants only during a paid subscription: for testers, this licence is that grant, at no charge.

4. Brains it scaffolds

A brain the Software scaffolds into your repository, and the decisions you record in it, are yours. They stay yours when testing ends.

5. What you may not do

• Share the installer, the private link, your code or the Software with anyone else.

6. Agents act at your direction

Agents in the Software edit files, run commands, merge into your checkout and push to your remote when you let them. You decide what they may do through your own AI app’s settings and the permission level you choose in Codee3; the Software does not confine their commands to one folder. You are responsible for checking what lands.
